Acceptance of Terms

By accessing or using EzBiz Pro LLC (“the Platform”, “our Service”), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

EzBiz Pro LLC reserves the right to update these terms at any time, and your continued use constitutes acceptance of any modifications.

Eligibility & Account Registration

To use EzBiz Pro LLC, you must be at least 18 years old and authorized to enter into binding contracts. You represent that all registration information you submit is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and agree to notify us immediately of any unauthorized access or security breach. Each workspace must be associated with a legitimate business entity or individual service provider.

We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

Workspace & User Responsibilities

Your workspace is your responsibility. You control what data you upload and how you use our AI-powered features. You retain ownership of all customer data, job records, invoices, and files you upload.

You are solely responsible for obtaining necessary consents from your customers before storing their information and must comply with all applicable laws including data protection, consumer protection, and tax regulations.

You agree not to use the platform to store or transmit illegal, harmful, or infringing content. You are responsible for all activity that occurs under your workspace, including actions by team members you invite.

Payments, Subscriptions & Trials

EzBiz Pro LLC offers subscription plans with optional trial periods. Free trials are available for new workspaces, with trial length and features specified at signup. After your trial ends, you must subscribe to a paid plan to continue accessing your workspace.

Subscription fees are billed monthly or annually in advance via Stripe. All fees are non-refundable except as required by law. You authorize us to charge your payment method on file for recurring subscription fees and any overage charges.

We may change pricing with 30 days' notice; continued use after the notice period constitutes acceptance. If payment fails, we may suspend or terminate your account after reasonable notice.

AI & Data Usage

Our agentic assistant uses AI models to automate workflows. You control when and how AI features are enabled. AI-generated content (replies, quotes, summaries) is provided as-is, and you are responsible for reviewing and approving outputs before sending to customers.

We may use anonymized, aggregated data to improve AI models, but we never sell your customer data to third parties. AI features rely on third-party providers (OpenAI, LangChain), and their terms and data processing agreements apply.

You grant us a limited license to process your data solely to provide the services you request. We are not liable for errors, inaccuracies, or unintended outputs generated by AI features.

Email & SMS Communication

EzBiz Pro LLC sends emails and SMS messages on your behalf and to you. You control marketing preferences and must comply with communication laws. Transactional messages (password resets, invoices, trial reminders, security alerts) are sent automatically and cannot be opted out.

Marketing emails (product updates, feature announcements, tips) can be unsubscribed from via the link in each email or in your workspace settings. SMS notifications require your explicit opt-in; you may opt out at any time by replying STOP or updating your notification preferences.

When you use our platform to send emails or SMS to your customers, you are responsible for complying with CAN-SPAM, TCPA, GDPR, and other applicable laws. You must obtain proper consent from your customers before sending them marketing messages through our platform.

We use SendGrid and Twilio to deliver messages; their terms and deliverability practices apply. We are not liable for failed message delivery, carrier fees, or regulatory penalties arising from your use of communication features.

Prohibited Activities

You may not use EzBiz Pro LLC for any unlawful, abusive, or harmful purpose. This includes spamming, phishing, or sending unsolicited bulk messages to individuals who have not opted in, as well as uploading malware, viruses, or code designed to disrupt or damage systems.

You may not impersonate others, misrepresent your identity, or engage in fraudulent activity. Scraping, reverse engineering, or attempting to access systems or data you are not authorized to access is prohibited. Using the platform to harass, threaten, or violate the rights of others is strictly forbidden.

Service Availability & Modifications

We strive for high uptime but do not guarantee uninterrupted access. We may update or discontinue features at any time. We provide the platform “as is” and “as available” without warranties of any kind.

We may perform scheduled maintenance with advance notice or emergency maintenance without notice. We reserve the right to modify, suspend, or discontinue any feature or the entire service with reasonable notice. We are not liable for downtime, data loss, or business interruption caused by service outages.

Intellectual Property

EzBiz Pro LLC and its licensors own all rights to the platform, including software, design, and branding. You are granted a limited, non-exclusive, non-transferable license to use the platform for your business purposes.

You may not copy, modify, distribute, sell, or lease any part of our platform or its underlying technology. Our trademarks, logos, and brand assets may not be used without prior written permission. You retain all rights to your customer data and content; we claim no ownership over it.

QuickBooks App End-User License Agreement (EULA)

This QuickBooks App EULA (“QuickBooks EULA”) applies only to your use of EzBiz Pro LLC's QuickBooks integration and any related connectors, synchronization features, and integration software (collectively, the “QuickBooks Integration”). This QuickBooks EULA is part of these Terms of Service. If there is a conflict between this QuickBooks EULA and other portions of these Terms of Service, this QuickBooks EULA will control solely with respect to the QuickBooks Integration.

License Grant

Subject to your compliance with these Terms of Service, EzBiz Pro LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the QuickBooks Integration solely for your internal business purposes in connection with your EzBiz Pro workspace.

Restrictions

You may not (a) reverse engineer, decompile, or attempt to derive source code from the QuickBooks Integration, (b) interfere with or circumvent security or access controls, (c) use the QuickBooks Integration to create or operate a competing product or service, or (d) use the QuickBooks Integration in violation of applicable law or third-party terms.

Third-Party Services (Intuit QuickBooks)

The QuickBooks Integration connects to services operated by Intuit Inc. and/or its affiliates (“Intuit”), including QuickBooks Online (collectively, “QuickBooks Services”). Intuit is a third party and is not responsible for EzBiz Pro LLC or the QuickBooks Integration. Your use of the QuickBooks Services is governed by Intuit's applicable terms and policies, including (as applicable) Intuit's App Center Services terms available at https://www.intuit.com/legal/terms/en-us/quickbooks/apps/.

Authorization, Permissions, and Data Access

When you connect a QuickBooks account, you authorize EzBiz Pro LLC to access, process, and synchronize data from your QuickBooks Services account to provide the QuickBooks Integration features you enable. You represent and warrant that you have all necessary rights and permissions to grant this authorization and to share any data that is accessed through the QuickBooks Integration.

You can revoke this authorization at any time by disconnecting the QuickBooks Integration within EzBiz Pro and/or through your Intuit/QuickBooks account settings. Revocation may prevent the QuickBooks Integration from functioning and may stop future data synchronization.

Disclaimers for the QuickBooks Integration

The QuickBooks Integration is provided on an “as is” and “as available” basis and may be affected by changes, interruptions, or limitations in the QuickBooks Services or Intuit APIs. We do not guarantee that the QuickBooks Integration will be uninterrupted or error-free, or that synchronized data will be complete, accurate, or current. You are responsible for reviewing and validating any data and outputs before relying on them for accounting, tax, or financial reporting purposes.

Limitation of Liability & Disclaimers

To the maximum extent permitted by law, EzBiz Pro LLC limits its liability for damages arising from your use of the platform. We are not liable for indirect, incidental, consequential, or punitive damages including lost profits or data loss.

Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. We do not guarantee that the platform will meet your specific requirements or that AI outputs will be accurate or error-free.

You use the platform at your own risk; we disclaim all warranties including merchantability and fitness for a particular purpose. Some jurisdictions do not allow liability limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to defend and indemnify EzBiz Pro LLC from claims arising from your use of the platform. You will indemnify us against claims related to your content, your customers, or your violation of these terms.

You will indemnify us for claims arising from your failure to comply with communication laws (CAN-SPAM, TCPA, GDPR). You will cover our reasonable legal fees and costs in defending such claims.

Termination & Data Retention

Either party may terminate the agreement. You may cancel your subscription at any time from workspace settings; cancellation takes effect at the end of your billing period. We may terminate your account immediately for breach of these terms, non-payment, or illegal activity.

Upon termination, you lose access to your workspace; you may request a data export within 30 days. We retain invoices and tax records as required by law (typically 7 years); other data is deleted per our Privacy Policy. Provisions related to liability, indemnification, and intellectual property survive termination.

Governing Law & Dispute Resolution

These terms are governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising from these terms or your use of the platform will be resolved through binding arbitration under the American Arbitration Association rules.

You waive the right to participate in class actions or class arbitrations. Arbitration will be conducted in San Francisco, California, or remotely by mutual agreement. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or in-product banner at least 30 days before they take effect. The effective date at the top of this page reflects the most recent update.

If you do not agree to the updated terms, you must stop using the platform and may request account deletion.

GDPR & International Compliance

For users in the European Economic Area, UK, or other regions with data protection laws, additional rights apply. EzBiz Pro LLC acts as a data controller for your account information and as a processor for customer data you manage.

You have rights to access, correct, delete, and export your data as outlined in our Privacy Policy. We rely on Standard Contractual Clauses for international data transfers. You are responsible for ensuring your use of the platform complies with local laws including GDPR, UK GDPR, and PIPEDA.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional agreements you enter into with EzBiz Pro LLC, constitute the entire agreement between you and EzBiz Pro LLC regarding your use of the Platform.

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
